It provides a comprehensive and comparative explanation of the law relating to all three types of business partnership available under English law; general partnerships, limited partnerships and LLPs. Partnership and LLP Law explains the applicable law from formation of the business to termination, including chapters on the availability or otherwise of legal personality, duties of partners and members, management issues, property and finance, taxation, litigation and insolvency. It includes coverage of the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009, which adapt and apply the provisions of the Companies Act 2006 to LLPs; and the Legislative Reform (Limited Partnerships) Order 2009, which introduces key reforms to limited partnership law. The law relating to each of the three types of partnership is set out clearly and concisely to enable the reader to understand, or refresh their understanding of partnership and LLP law. This approach will also enable those with knowledge or experience of one type of partnership to understand the similarities and differences of the other types. Author Biography

Elspeth Berry is a Senior Lecturer in Law at Nottingham Law School, with over fifteen years of experience in researching partnership and LLP law and teaching undergraduate and postgraduate students the law of business organisations and other commercial and international subjects. She is the co-author of European Union Law (2007) and Partnership Law (1999).
